1.  For sale and these contractual terms and conditions apply exclusively to the delivery of our goods. 

2. Prices
The price list valid on the day of the order applies. All prices include the current statutory value-added tax. Errors and printing mistakes are reserved. Upon the release of a new price list, all previous prices become invalid. 

3. Minimum order value
See current price list. 

4. Delivery Time            
We strive to fulfill your orders as quickly as possible. We ship the goods within 3 business days after receiving your order.
Our goods are shipped by courier service or post.

5. Order
Your order can be placed by mail, telephone, internet, or fax. We expressly reserve the right to accept your order. Acceptance will be confirmed in writing or by delivery of the ordered goods.

Advance payment (a copy of the stamped transfer slip must be attached to the order)

7. Payment Default
In case of payment default (from the 1st reminder), we will charge you a late fee of EUR 5.00. For each returned direct debit, an additional fee of EUR 15.00 will be charged. 

8. Right of Withdrawal
Consumers have a right of withdrawal under the following provisions, whereby a consumer is any natural person who concludes a legal transaction for purposes that cannot be predominantly attributed to their commercial or independent activity.
You have the right to cancel this contract within fourteen days without giving any reason.
The withdrawal period is fourteen days from the day on which you or a third party named by you, who is not the carrier, took possession of the goods.
To exercise your right of withdrawal, you must inform us (Neomed Pharma GmbH, Moltkestr. 38, 23564 Lübeck, Tel. 0451 795024, Fax 0451 792895, E-mail: info@neomed-pharma.com) of your decision to withdraw from this contract by means of an unambiguous statement (e.g., by post, fax, or email). You may use the attached sample withdrawal form, but it is not obligatory.
To meet the withdrawal deadline, it is sufficient for you to send your notification of exercising your right of withdrawal before the withdrawal period has expired. 

9. Consequences of withdrawal
If you revoke this contract, we shall reimburse you all payments we have received from you, including the cost of delivery (with the exception of the additional costs resulting from your choice of a type of delivery other than the cheapest standard delivery offered by us), without delay and at the latest within fourteen days from the day on which the notice of your revocation of this contract was received by us. We shall use the same means of payment for this repayment as you used for the original transaction, unless something else was expressly agreed upon with you; under no circumstances will you be charged any fees for this repayment. We may refuse to repay until we have received the goods back or until you have provided proof that you have returned the goods, whichever is the earlier date.  
You shall return or hand over the goods to us without delay and in any case no later than fourteen days from the date on which you inform us of your withdrawal from this contract. The deadline is met if you send the goods off before the expiry of the fourteen-day period. You shall bear the immediate costs of returning the goods. You shall only be liable for any diminished value of the goods if this diminished value is due to handling of the goods which is not necessary to ascertain their nature, characteristics and functioning.

10. Cost Bearing Agreement
If you exercise your right of withdrawal, you shall bear the regular costs of returning the goods if the delivered goods correspond to the ordered goods and if the price of the goods to be returned does not exceed an amount of 40 euros, or if you have not yet paid the consideration or an agreed-upon partial payment for the goods at the time of withdrawal if the price is higher. Otherwise, the return shipping is free of charge for you. 

11. Shipping Damage
are immediately with the delivering agent
(e.g. UPS) upon receipt. 

12. Warranty
The goods received must be checked for completeness and integrity immediately upon receipt. Complaints must be reported to us in writing without delay, within 5 days of receipt of the goods. In the case of justified complaints, you are entitled to demand supplementary performance within the meaning of the German Civil Code. Unless the law mandates otherwise, any claim for damages is limited to the difference between the purchase price and the value of the defective goods. 

13. reservation of title
The delivered goods remain the property of Neomed Pharma GmbH until all claims have been paid in full. 

14. force majeure
Our obligation to deliver shall lapse if we are prevented from doing so by force majeure or other circumstances for which we are not responsible, without this giving rise to an obligation to pay compensation. Force majeure shall also include delays in self-supply, operational disruptions, transport disruptions and any form of labor dispute. After setting a reasonable grace period, you are entitled to withdraw your order. 

15. Jurisdiction and Place of Performance, Applicable Law       
To the extent the customer is not a consumer, Lübeck shall be the exclusive place of jurisdiction. The place of fulfillment for all payments is Lübeck. For all contractual, non-contractual, and other claims, German law shall apply exclusively, provided that mandatory national or international law does not preclude this.
